EXPLANATORY NOTE
This Registration Statement on Form S-8 of Apogee Enterprises, Inc. (the Company) is being filed pursuant to General Instruction E to Form S-8 under the Securities Act of 1933, as amended, to register an additional 250,000 shares of the Companys common stock, par value $0.33 1/3 per share, issuable pursuant to the Apogee Enterprises, Inc. 2000 Employee Stock Purchase Plan, as amended (the Plan). The issuance of the additional shares was approved by the Board of Directors (the Board) of the Company at a meeting of the Board on October 6, 2020. The Company previously registered shares of Common Stock for issuance under the Plan pursuant to Registration Statements on Form S-8 filed on July 28, 2003 (Registration No. 333-107403) and on October 9, 2015 (Registration No. 333-207364), which are hereby incorporated by reference.
